этот пункт - для контекста. он понятен более-менее: It is understood that any person being stockholder or general or special proxy of
this corporation, even though said power or powers of attorney have not been registered in the
Public Registry of Panama, the same being for a definite or indefinite period and there existing the
possibility that said powers of attorney were issued in blank upon request of the interested party,
convenes that his anonymity shall not be taken into advantage to use the corporation for the
distribution of drugs, narcotraffic, infantile prostitution, infantile pornography, money laundering,
terrorism, purchase, handling, elaboration or distribution of weapons of any kind, nor any other
illegal activity which attempts or infringes the provisions of the Laws of the Republic of Panama or
the International Laws in force. In case the corporation infringes this article, it is established that
the stockholders and/or the special or general proxies shall be responsible for these activities and
shall in every case assume the responsibility before the competent authorities.

а вот следующий пункт COMPENSATION. - совершенно не могу разобраться, что, кому и куда.
Any person being a party of any action, lawsuit or procedure
due to the fact that he, his testator or intestate is or was Director, Officer or employee of this
corporation or of any other corporation where he is a party of upon request of this corporation,
shall be compensated by this corporation for the reasonable expenses, including attorney's fees
incurred in relation with said action, lawsuit or procedure or in relation to any appeal thereto,
except in relation to matters where in the action, lawsuit or procedure said Officer, Director or
employee is declared liable for negligence or bad conduct in exercise of his duties. Such
compensation right shall not be considered exclusive of any other rights that said Director, Officer
or employee could have besides the legal provisions established.

если кого-то таскают по судам и т п из-за того, что либо он сам, либо лица ...,
являются или были директорами и т п Компании, или какой-либо другой
как-то там связанной с Компании корпорации, то ему его судебные и т п
издержки и т п будут возмещены, если только это не он сам облажался...

A если ему еще где-то компенсации за то же
самое отвалят, то данную компенсацию соотв. пересчитают.

Любое лицо, являющееся стороной в действии, судебном разбирательстве или процедуре вследствие факта того, что данное лицо, его наследодатель либо лицо умершее без завещания, является или являлось Директором, уполномоченным представителем или сотрудником данной Корпорации, либо другой корпорации, но выступал Стороной по запросу данной Корпорации, имеет право на компенсацию от данной Корпорации в разумных пределах расходов, включая расходы на адвокатов в связи с указанным выше действием, судебным разбирательством или процедурой или в связи с подаваемой апелляцией за исключением случаев, когда уполномоченный представитель, директор или сотрудник настоящей Корпорации обвиняется в халатности или несоответствующем исполнении своих обязанностей. Вышеозначенное право на компенсацию не исключает другие права которые директор, уполномоченный предствитель или сотрудник Корпорации мог бы иметь помимо установленных резервов на законодательные действия.
