перевожу Operational Agreement американского LLC.
Столкнулась со сложностями в переводе некоторых понятий и терминов, которых в доступных мне словарях либо нет, либо они толкуются неоднозначно, либо я не до конца их понимаю))):
1) the Indiana Business Flexibility Act - (“Act” means the Indiana Business Flexibility Act and any successor statute, as amended from time to time) - что-то вроде "Акт по поддержке бизнеса" штата Индиана?
2) Critical Matter - Критический повод? - “Critical Matter” means (i) the removal of a Member, (ii) the imposition of additional or more restrictive credit requirements on a Member, (iii) any other items so designated in this Agreement or (iv) any other matter relating to the relationship between the Company and the subject Member which a majority of the other Members have otherwise so characterized in writing.
3) Membership Interest - Доля Участника, Члена? “Membership Interest” means the interest of a Member in the Company, including, without limitation, rights to distributions (liquidating or otherwise), allocations, information, and to consent or approve of action or inaction as provided in the Act, the Articles and this Agreement.
4) Allocations and Distributions - распределение прибыли и убытков?
5) Adjusted bases - приведенная основа? скорректированная база? (“Book Value” of any item of Company property as of any particular date shall be its adjusted basis for Federal income taxation purposes).
6) Dispose”, “Disposing”, or “Disposition” - Распоряжение, Отчуждение - и что еще?
7) Manager и Board of Manager - это Управляющий и Совет Управляющих - или это следует переводить "Директор" и "Совет Директоров"? (“Manager” means any person named in the Articles as an initial manager of the Company and any person hereafter elected as a manager of the Company as provided in this Agreement, but does not include any person who has ceased to be a manager of the Company.)

Скорее, скорректированная, измененная.

Что-то навроде различия бухгалтерского и управленческого учета?
"Бухгалтерское значение в собственности (балансе) компании должно быть скорректированным * по правилам (в формате) Федеральной системы налогообложения.

Date: 2012-02-03 07:57 am (UTC)Да, я кусками почитываю, только там еще нужно подготовку определенную иметь, чтобы даже по-русски это понимать)))
По поводу disposition - в том то и дело, что мультитран дает и отчуждение, и распоряжение. Это вообще-то два разных термина. И что тут имеется в виду? Распоряжение - это более широкий термин. Я решила писать "отчуждание".

Date: 2012-02-02 01:32 pm (UTC)2.Особый вопрос (обычно такие вопросы могут привести к спору или еще какому-нибудь конфлику, в связи с чем для их решения устанавливаются особые требования).

4. Думаю, да
5. На скорректированной основе. Видимо, после соответствующих бухгалтерских корректировок.
6. И то, и другое в зависимости от контекста.
7. Пусть будут управляющие. Чтобы не додумывать. Но суть правильная. Просто ихние managers и наши менеджеры - две большие разницы.

Date: 2012-02-03 07:52 am (UTC)7) По поводу managers - понятно, что варианта "менеджер" просто и не может быть)). Я выбираю между управляющим и директором, мне кажется, что "Управляющий" лучше.

Сейчас я перевела это как "Под терминами, «Отчуждать», «Отчуждение» подразумевается продажа, уступка, передача, обмен, заклад, предоставление залога, а также другие виды отчуждения и заклада (включая все виды, разрешенные действующим законодательством, без ограничений), или сами эти действия. - получается, что disposing и disposition я объединяю. Мне еще не совсем понятен конец фразу - or the acts thereof - тут имеются ввиду "действия" или акты в значении документов?
