Уважаемые сообщники, не знаю, как корректно перевести на русский язык выражение в сабже. Контекст:
What little we do know comes from everyday observation of the industry. Rarely do brokers recommend the purchase of Treasury securities or index funds, since they produce scant commission revenue. Far more common are the sales of individual corporate and municipal bonds that carry enormous profit margins. Typically, these are "principal transactions," in which the brokerage firm buys and sells the bonds out of its own inventory. The broker usually tells the client that "there was no commission," as if he or she has just been given a Christmas gift.

По характеру своему - продавец (брокер/дилер, инвестбанк и т.п.) продаёт клиенту (инвестору) облигации из своего потрфеля, т.е. не выступает как агент, ищя их на рынке. С клиентской стороны - аналогично: клиент не выходит на рынок в поисках более хорошей цены и/или условияй, а просто покупает бумагу у своего партнёра.

Данные о транзакции могут (а могут и "не") сообщаться на рынок, но это уже вторично - сама транзакция произошла вне его.

Ваш "разговорный" вариант куда ближе к действительности. Одна и та же сделка может быть principal transaction для одной стороны и agency transaction для другой стороны. Основное различие - сделали ли вы сделку, используя собственные деньги/бумаги или клиентские. И principal transaction, и agency transaction могут быть как биржевыми, так и внебиржевыми, так что ваш критерий "внерыночности" здесь несколько не к месту.

Самое официальное, что могу предложить: "от своего имени и за свой счёт" в противоположность агентским сделкам, которые всегда заключаются за счет клиента брокера

The correct answer is probably this:
those are "principal transactions" because they are made FROM THE PRINCIPAL, i.e. the main body ("corpus") of the fund, capital, or estate -- as distinct from income or interest

There is a difference between making a payment from a principal amount and making a transaction as a principal. Looks like you are playing with possible meanings of the word "principal" without actual understanding of what's going on. Your last guess is almost correct. Although I would not use the word "intermediary" because an intermediary may execute a client's order by purchasing securities to its prop position and then reselling them to the client acting as a principal (and that is a principal transaction). An intermediary acting as an agent facilitates transactions acting on behalf of its clients and using clients funds. And that is the main difference between a principal trade and an agency trade.
