Здравствуйте!
 Не подскажете ли, что конкретно имеется в виду в выделенной части предложения? Есть предположения, но я во всех них сомневаюсь...
Речь идёт о пункте соглашения про разбор споров арбитражным судом.

The parties consent to the exclusive jurisdiction of the federal and state courts with jurisdiction over Delaware for all purposes in connection with any such arbitration, provided that each party may bring suit against the other party to enforce an arbitration award in any court where jurisdiction may be had over the other party. 

Особенно интересует "where jurisdiction may be had over the other party".
